In partnership with a broad group of senior RCI managers, CM Equity Partners acquired RCI in 1998 in a go-private transaction from its public parent, Salient 3 Communications, Inc. RCI provided professional services, primarily to DoD clients, in: engineering, information technology, human strategies and services, enterprise outsourcing and management and business process re-engineering.
CMEP encouraged management to invest in the long-term growth of RCI, including new business personnel and increased bid and proposal activity. CMEP, in conjunction with management, more than doubled EBITDA margins by targeting more profitable contracts and leveraging revenue growth. CMEP also established a broad-based stock purchase program for employees, implemented best practices for Federal oversight agency standards, systematized business development pipeline, MIS and reporting processes and brought to RCI industry experts and executives as Board members.
RCI's growth was primarily organic, supplemented with two strategic add-on acquisitions. CMEP supported RCI’s working capital growth without the need for additional equity financing, through careful balance sheet management and by working with RCI’s banks to expand credit terms. Revenue grew nearly 5x from the date of acquisition and EBITDA grew more than 10 times during the same period. In 2005, RCI was acquired by Serco Group Plc (LSE: SRP.L) – in a successful outcome for RCI’s management team and CMEP’s investors.
